Beat Licensing Policy

1. Ownership of Musical Compositions

All beats, instrumentals, and musical compositions available on this platform are the original, copyrightable works of Shivan ("the Producer"), protected under the Copyright Act, 1957 (India) and international copyright conventions including the Berne Convention and the TRIPS Agreement. The Producer retains full authorship and ownership of the underlying musical composition at all times, regardless of which license tier is purchased.

2. License and Permitted Use

Purchasing a beat grants the buyer a single, personal, non-transferable license to use the purchased composition according to the license tier selected at checkout. The license does not constitute an assignment of copyright; the Producer retains full authorship and ownership of the underlying composition at all times.

All distributions and releases using a licensed beat must include the producer credit line: "Prod. by Shivan." Failure to include this attribution may result in revocation of the license.

3. Basic License

The Basic License is a non-exclusive commercial use license. The buyer may create and release one new song, recording, or audiovisual work using the purchased beat, subject to the restrictions in this policy.

• The beat may continue to be sold or licensed to other buyers.
• The buyer may distribute and monetize the resulting work on streaming platforms, social platforms, and video platforms.
• The buyer may not claim exclusive ownership of the beat or prevent other licensed users from using the same beat.
• The buyer may not resell, transfer, sublicense, or redistribute the beat as a standalone file, sample pack, loop, instrumental, or competing product.

4. Exclusive License

The Exclusive License grants the buyer exclusive commercial use of the purchased beat from the date of purchase, subject to the restrictions in this policy and any prior licenses already issued before that date.

• After an Exclusive License is sold, the same beat should no longer be newly sold or licensed to another buyer through this store.
• Prior Basic License buyers, if any, keep the rights they already purchased before the Exclusive License date.
• The buyer may distribute and monetize the resulting work on streaming platforms, social platforms, and video platforms.
• The Producer retains authorship, publishing interests, performance royalty rights, and the right to be credited as producer unless separately agreed in writing.
• The buyer may not resell, transfer, sublicense, or redistribute the beat as a standalone file, sample pack, loop, instrumental, or competing product.

5. Download Delivery

After payment is successfully captured, the buyer receives time-limited download links for the purchased master files. These links are intended only for the buyer and must not be shared publicly or redistributed.

6. Buyer's Responsibilities and Representations

By purchasing any license on this platform, the buyer agrees to and represents the following:

• The buyer is solely responsible for all lyrics, vocal performances, and any third-party content (samples, recordings, performances) added to or combined with the licensed beat.
• The buyer warrants that their use of the beat, including any vocal or lyrical content layered over it, does not infringe upon the intellectual property, personality rights, privacy rights, or any other rights of any third party.
• The buyer agrees to comply with all applicable Indian laws, including but not limited to the Copyright Act, 1957; the Information Technology Act, 2000; and any regulations issued by the Ministry of Information and Broadcasting.
• The buyer is solely responsible for obtaining any additional clearances, permissions, or licences required for the distribution, broadcast, or monetisation of the resulting work on any platform (including but not limited to YouTube, Spotify, Apple Music, Instagram, and JioSaavn).
• The buyer shall not upload, distribute, or broadcast content that is obscene, defamatory, communally sensitive, or otherwise prohibited under applicable Indian law.

7. Prohibited Uses

The following uses are expressly prohibited:

• Re-selling, sub-licensing, or transferring the beat itself (not the resulting recording) to any third party.
• Registering the underlying beat as an original composition with any copyright office or PRO without prior written consent from the Producer.
• Using the beat for defamatory, hate-based, communally inflammatory, or illegal content.
• Claiming sole authorship of the musical composition.

8. Performing Rights and Royalties

The Producer retains the right to collect performance royalties through registered PROs (such as IPRS, PPL India, or their international equivalents) for public performances of the underlying composition. Neither the Basic License nor the Exclusive License extinguishes the Producer's PRO membership rights or publishing rights unless separately agreed in writing.

9. Governing Law and Dispute Resolution

This Licensing Policy is governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with this policy shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in India. Notwithstanding the foregoing, either party may seek interim injunctive relief from a competent court.
